Terms and Conditions

Please read these Terms and Conditions carefully before using Pass Down. By creating an account, tapping "I Agree", or using any part of the Pass Down application, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, do not use the Service. These Terms and Conditions constitute a legally binding agreement between you and UnclaimedX Private Limited.
1. About Pass Down and These Terms
1.1. Who We Are

Pass Down is a mobile application developed and operated by UnclaimedX Private Limited, a company incorporated in India with CIN U62010KA2026PTC215076, having its registered office at No 40, Abhee Prakruthi, Iggalur, Chandapura, Bangalore South, Bengaluru 560099, Karnataka, India ("UnclaimedX", "Pass Down", "we", "us", "our").

1.2. What Pass Down Is

Pass Down is a digital inheritance application. It allows you to store passwords, credentials, financial account details, notes, and other important information in an encrypted vault. Through the SAFE Protocol, our proprietary multi-stage welfare and verification system, Pass Down works to ensure that your information is securely passed on to your nominated individual after your death is verified through the required stages.

1.3. What Pass Down Is Not

This is important. Please read carefully.

Pass Down is not a law firm, estate planning firm, or financial advisory service. Nothing in the Service, and nothing communicated to you by Pass Down or its team, constitutes legal, financial, or estate planning advice. Pass Down is not a substitute for a registered will, a legal nominee declaration, or any other legally recognised instrument of inheritance under Indian law or the law of any other jurisdiction. The actual legal transfer of asset ownership after death is governed by applicable succession laws and must be handled through appropriate legal, banking, governmental, and regulatory channels. Pass Down facilitates the secure storage and delivery of information. It does not execute or guarantee the transfer of any asset.
1.4. Agreement to Terms

By accessing or using Pass Down, you agree to these Terms and Conditions ("Terms"), our Privacy Policy, and any additional terms we may present to you within the app from time to time. If any of these Terms conflict with each other, the more specific provision applies.

1.5. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via your registered email address at least 30 days before the changes take effect. Your continued use of Pass Down after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you may delete your account before the effective date.

2. Eligibility and Account Registration
2.1. Eligibility

You must be at least 18 years of age to create a Pass Down account. By registering, you confirm that you are 18 or older and that you have the legal capacity to enter into a binding agreement. If you are registering on behalf of yourself, you confirm you are doing so in your personal capacity and not on behalf of any other individual.

2.2. One Account Per Person

You may hold only one Pass Down account. You agree not to create multiple accounts or create an account using false information. If we detect duplicate accounts, we reserve the right to suspend or terminate the additional accounts without notice.

2.3. Accurate Information

When registering, you agree to provide accurate, current, and complete information including your full name, mobile number, and email address. You are responsible for keeping this information up to date. Inaccurate information may affect the functioning of the SAFE Protocol and the vault handover process.

2.4. Account Security and Security PIN

Your Pass Down account is secured by OTP-based login to your registered mobile number and a 6-digit security PIN that you set during onboarding. You are solely responsible for maintaining the confidentiality of your security PIN. Do not share your PIN with anyone. Pass Down will never ask you for your PIN.

Important: If you lose your security PIN, your account cannot be recovered. This is by design. Pass Down's zero-knowledge encryption architecture means we do not hold any master password that can unlock your vault independently. If you lose access to your registered mobile number AND your security PIN, your account and all vault contents are permanently inaccessible. No Pass Down staff member can override this. We strongly recommend you store your PIN in a safe and memorable place.

If you lose access to your device but still have your registered mobile number, you can recover your account on a new device. Simply verify your mobile number via OTP and then enter your 6-digit security PIN correctly. Once the PIN is verified, recovery is complete and your vault becomes accessible on the new device. If you have forgotten your PIN, recovery is not possible and your account cannot be unlocked by any means, including by Pass Down.

2.5. Minors and Shared Access

The account holder must be at least 18 years of age. If you choose to share specific vault items with a person under 18 (for example, sharing household account credentials with a younger family member), you accept full responsibility for the appropriateness and legality of that shared content. Pass Down bears no responsibility for content shared by account holders with any one.

2.6. Suspicious Activity

You agree to notify us immediately at hello@unclaimedx.com if you become aware of any unauthorised access to your account or any breach of your account security.

3. The Service
3.1. App Licence

Subject to your compliance with these Terms, UnclaimedX grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, install, and use the Pass Down mobile application on a device you own or control, solely for your own personal, non-commercial use.

3.2. Current Service Status

Pass Down is currently in its beta phase. The Service is available to users at no charge. We may introduce paid plans in the future. If and when a paid plan is introduced, you will be notified in advance and may choose to subscribe or continue using any free tier that remains available. We will never charge you without your explicit consent and will never store your payment information without your knowledge.

3.3. Service Availability

We will make reasonable efforts to keep Pass Down available and operational. However, the Service is provided on a best-efforts basis. We do not guarantee uninterrupted, error-free, or timely access to the Service. Scheduled maintenance, technical failures, third-party service outages, or events outside our control may result in the Service being unavailable. UnclaimedX will not be liable for any loss or inconvenience caused by downtime or service interruptions.

3.4. Updates and Changes to the Service

Pass Down is a developing product. We may add, modify, or remove features at any time, with or without notice. We may require you to install updates to continue using the Service. Continued use of the Service after an update constitutes acceptance of the updated version.

3.5. Beta Phase Disclaimer

During the beta phase, the Service may contain bugs, incomplete features, or unexpected behaviour. By using Pass Down during the beta phase, you acknowledge this and agree that UnclaimedX shall not be liable for any loss of data, disruption to the vault, or failure of any feature during this period.

4. Your Vault and Your Content
4.1. Ownership of Your Content

All information you store in your Pass Down vault, including passwords, credentials, notes, documents, and any other data you enter ("Your Content"), belongs to you. UnclaimedX makes no claim of ownership over Your Content.

4.2. Zero-Knowledge Architecture

Pass Down is built on a zero-knowledge encryption architecture. This means that all vault contents are encrypted on your device before being transmitted to our servers. UnclaimedX receives and stores only encrypted ciphertext. We cannot read, access, or decrypt Your Content at any time. This is an architectural choice, not merely a policy. You acknowledge and accept that this architecture also means that if you lose access to both your mobile number and security PIN, your vault contents are permanently unrecoverable by you and by us.

4.3. Your Responsibility for Content

You are solely responsible for the accuracy, legality, and completeness of Your Content. UnclaimedX does not review, verify, or validate any information you store in the vault. We are not responsible for any harm, loss, or liability arising from incorrect, incomplete, or misleading content stored in your vault.

4.4. Storage Limits

Each vault entry may include supporting documents of up to 10 MB per file. UnclaimedX reserves the right to set and modify storage limits at any time with reasonable notice.

4.5. Prohibited Content

You agree not to store any content in your vault that:

  • Is illegal under Indian law or the law of any applicable jurisdiction.
  • Facilitates, conceals, documents, or instructs any illegal activity, including but not limited to tax evasion, money laundering, fraud, or the concealment of illegally acquired assets.
  • Infringes the intellectual property rights, privacy rights, or any other rights of any third party.
  • Contains malware, viruses, or any other harmful or disruptive code.
  • Is defamatory, obscene, or otherwise objectionable under applicable law.

UnclaimedX reserves the right to suspend or terminate your account if we have reasonable grounds to believe your vault is being used to store prohibited content, without prejudice to any legal remedies available to us.

5. Nominees, Beneficiaries, and the SAFE Protocol
5.1. Your Responsibility for Nominee and Beneficiary Data

When you add a nominee or beneficiary to your account, you are providing their personal data, including name, mobile number, email address, identity details, and relationship, to Pass Down on their behalf. By doing so, you confirm that:

  • You have informed the nominee or beneficiary that you are adding them to your Pass Down account.
  • You have informed them that their personal data will be processed by Pass Down for the purpose of inheritance facilitation and identity verification.
  • You have informed them that they may receive automated and human welfare calls from Pass Down in connection with the SAFE Protocol.
  • All details you provide for the nominee or beneficiary are accurate and current to the best of your knowledge.

UnclaimedX bears no liability for consequences arising from incorrect, outdated, or incomplete nominee or beneficiary details entered by you.

5.2. Nominee Age

All nominees must be at least 18 years of age. By adding a nominee, you confirm that they meet this requirement. A nominee who is under 18 will not be able to complete the identity verification required for vault handover.

5.3. The SAFE Protocol

The SAFE Protocol is Pass Down's proprietary multi-stage welfare and verification system. It is designed to detect prolonged owner inactivity, confirm the owner's wellbeing, and, after verified death, facilitate the secure release of the vault to the designated nominee. The process works as follows:

  • You set a check-in frequency in the app, either daily or weekly, along with a loop alarm interval (15, 30, 60, or 90 minutes). The app prompts you to check in using biometric authentication or your device PIN at your chosen time. If you respond at any point, the process stops immediately and resets.
  • If you miss your check-in, the loop alarm continues firing at your configured interval. For daily check-in users, if you remain unresponsive across two consecutive days of alarms, the SAFE Protocol places an automated IVR welfare call to you first. If you do not respond to that call, the system waits 30 minutes and then places an automated IVR welfare call to your primary nominee. For weekly check-in users, if you miss your scheduled check-in and the loop alarm also goes unanswered, the SAFE Protocol places an automated IVR welfare call to you on the following day. If you do not respond, the system waits 30 minutes and then places an automated IVR welfare call to your primary nominee.
  • The welfare call to your nominee is a safety check to confirm you are well. It is not a declaration of death and it does not initiate the inheritance process. If your nominee confirms you are safe, no further action is taken and the process resets. If your nominee is unable to confirm you are safe, the next stage begins.
  • If your nominee cannot confirm your safety, a Pass Down team member places a direct human call to you first. If you do not respond, the team member then calls your primary nominee and backup nominee in sequence to seek confirmation of your status. All confirmations are recorded.
  • If both your primary and backup nominee confirm your death, the formal verification process begins. Your nominee must submit a valid death certificate and complete identity verification using their Aadhaar number through a government-integrated third-party partner.
  • Your vault is released to your nominee only after all 4 verification stages are completed and a final waiting window elapses with no login from you.
5.4. SAFE Protocol Consent

By using Pass Down and adding nominees, you expressly authorise UnclaimedX to:

  • Contact your nominee's registered mobile number by automated call and, if required, by human call, based on your inactivity as described in Section 5.3.
  • Share your nominee's name and mobile number with our calling service provider solely for the purpose of placing welfare calls.
5.5. SAFE Protocol Limitations

The SAFE Protocol is a technology system designed to facilitate the secure handover of your vault. UnclaimedX does not guarantee that the handover will succeed in every circumstance. Handover may fail or be delayed if:

  • Your nominee's mobile number is changed, disconnected, or unreachable.
  • Your nominee is unable or unwilling to complete the verification process.
  • The death certificate submitted does not meet the requirements of our verification partner.
  • A third-party service used in the verification process is unavailable due to technical or operational reasons which can cause delay.
  • There is a technical failure in any part of the system.
  • Any other circumstance arises that is outside UnclaimedX's reasonable control.

UnclaimedX shall not be liable for any failure or delay in vault handover arising from any of the above circumstances. It is your responsibility to keep your nominee's details current and to ensure your nominee is aware of and willing to participate in the process.

5.6. Nominee Removal and Fragment Revocation

If you remove a nominee from your account, their encryption key fragment is immediately and permanently revoked. They will no longer be able to participate in the vault handover process. If you add a new nominee, a new fragment is generated and assigned to them.

6. Intellectual Property
6.1. Our Intellectual Property

The Pass Down application, the SAFE Protocol, all underlying technology, source code, algorithms, user interface designs, graphics, brand name, logo, and all other content and materials made available through the Service are the exclusive property of UnclaimedX Private Limited or its licensors. All rights are reserved. No part of the Service may be copied, reproduced, distributed, reverse-engineered, decompiled, modified, or used to create derivative works without our prior written consent.

6.2. Your Licence

UnclaimedX grants you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Pass Down app for your own personal use as described in these Terms. This licence does not include the right to sublicense, sell, rent, commercialise, or otherwise exploit the Service or any part of it.

6.3. Restrictions

You agree not to:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying architecture of Pass Down or the SAFE Protocol.
  • Use any automated tool, bot, spider, scraper, or similar means to access or extract data from the Service.
  • Frame or mirror any part of the Service without our written consent.
  • Remove, obscure, or alter any copyright, trademark, or proprietary rights notices within the Service.
  • Use the Pass Down name, logo, or brand without our prior written consent.
  • Attempt to gain unauthorised access to any part of the Service, our servers, or any system or network connected to the Service.
6.4. Feedback and Suggestions

If you submit ideas, feedback, feature suggestions, or other input regarding the Service to UnclaimedX ("Feedback"), you grant UnclaimedX a perpetual, irrevocable, royalty-free, worldwide licence to use, incorporate, reproduce, modify, and otherwise exploit that Feedback in any manner and for any purpose, without any obligation, compensation, or attribution to you. This is standard practice across software products and ensures that product improvements inspired by user feedback can be developed freely. You retain no proprietary rights over any Feedback you submit.

7. Prohibited Conduct

As a condition of using Pass Down, you agree not to use the Service in any way that:

  • Violates any applicable Indian law or regulation, or the law of any jurisdiction applicable to you.
  • Facilitates, conceals, or documents any illegal activity, including but not limited to money laundering, tax evasion, fraud, or the concealment of illegally acquired assets.
  • Infringes the rights of any third party, including intellectual property rights, privacy rights, or rights of personality.
  • Involves impersonating another person or entity, including any Pass Down employee, or misrepresenting your identity or affiliation.
  • Involves uploading, transmitting, or storing malware, viruses, ransomware, or any other malicious or harmful code through the Service.
  • Interferes with or disrupts the integrity, performance, or security of the Service or any systems connected to it.
  • Attempts to gain unauthorised access to another user's account, vault, or data.
  • Uses the Service for any commercial purpose, including reselling access, building competing products, or using it to provide services to third parties for a fee.
  • Creates multiple accounts or creates an account on behalf of another person without their explicit, informed consent.
  • Deliberately misuses the SAFE Protocol, including triggering welfare calls with the intent to harass or disturb a nominee.

UnclaimedX reserves the right to suspend or permanently terminate your account if we determine, in our reasonable judgement, that you have violated any of the above. Termination does not limit any other legal remedies available to us.

8. Disclaimers and Limitation of Liability
8.1. Service Provided As-Is

To the fullest extent permitted by applicable law, Pass Down is provided "as is" and "as available", without any warranty of any kind, whether express, implied, or statutory. UnclaimedX expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, reliability, and non-infringement.

8.2. No Guarantee of Vault Handover

UnclaimedX does not guarantee that your vault will be successfully delivered to your nominee in all circumstances. The SAFE Protocol is a best-efforts system. Handover may fail due to circumstances outside our control as described in Section 5.5. You acknowledge and accept this limitation. Pass Down is a tool designed to significantly improve the likelihood of your information reaching your nominee. It is not a legal guarantee of inheritance, or a substitute for proper estate planning under applicable law.

8.3. No Guarantee of Data Recovery

If you lose your security PIN and are unable to recover access to your account through your registered mobile number and OTP verification, your vault contents are permanently and irreversibly lost. UnclaimedX cannot recover your vault, your encryption key, or any content stored within it. You accept this risk explicitly by using the Service and by setting your security PIN.

8.4. Third-Party Services

Pass Down integrates with third-party services including identity verification providers, calling services, and cloud infrastructure. UnclaimedX is not responsible for the availability, accuracy, performance, or conduct of these third-party services. Any failure or delay caused by a third-party service does not give rise to liability on the part of UnclaimedX.

8.5. Limitation of Liability

To the fullest extent permitted by applicable law, UnclaimedX's total liability to you for any claim arising out of or in connection with these Terms or your use of the Service shall be limited to the amount you have actually paid to UnclaimedX for the Service in the 12 months immediately preceding the event giving rise to the claim. Since Pass Down is currently provided free of charge, UnclaimedX's maximum liability to users during the beta phase is zero. This limitation applies regardless of the legal theory under which the claim is brought, including contract, tort, negligence, or any other basis.

8.6. Exclusion of Indirect Damages

To the fullest extent permitted by applicable law, UnclaimedX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of income, loss of profit, loss of opportunity, or any financial harm arising from the failure of vault handover, unavailability of the Service, or loss of vault access, regardless of whether UnclaimedX was advised of the possibility of such damages.

Nothing in these Terms excludes or limits UnclaimedX's liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation. Your statutory rights under the Consumer Protection Act, 2019 and other applicable Indian consumer law are not affected by these Terms.
9. Account Termination
9.1. Termination by You

You may delete your Pass Down account at any time through the Settings section of the app. Upon initiating deletion, a 30-days dormancy window begins. During this period, your account is deactivated and your nominee's encryption key fragments are immediately revoked. You may reactivate your account at any time during the 30-days dormancy window by logging in. After 30-days of no login, all your data, vault contents, and encryption key fragments are permanently and irreversibly deleted from all our systems, including backups. This deletion cannot be undone.

9.2. Termination by UnclaimedX

We reserve the right to suspend or terminate your account, with or without notice, if:

  • You violate any provision of these Terms.
  • We are required to do so by applicable law or a valid court order.
  • We have reasonable grounds to believe your account is being used for illegal, fraudulent, or harmful purposes.
  • You provide false or materially misleading information during registration.
  • You attempt to circumvent or compromise the security architecture of the Service.
9.3. Effect of Termination

Upon termination of your account for any reason, your licence to use the Service ends immediately. Sections of these Terms that by their nature should survive termination, including Sections 4 (Your Vault and Your Content), 6 (Intellectual Property), 7 (Prohibited Conduct), 8 (Disclaimers and Limitation of Liability), 10 (Governing Law), and 11 (General Provisions), shall continue to apply after termination.

9.4. If Pass Down Ceases Operations

In the unlikely event that UnclaimedX ceases operations or discontinues the Pass Down Service permanently, we will provide you with at least 90 days notice via your registered email address. During this notice period, we will make reasonable efforts to enable you to export your account information in an accessible format. After the notice period concludes, all user data will be permanently deleted from our systems in accordance with our Privacy Policy. UnclaimedX shall not be liable for any loss arising from the cessation of the Service beyond what is provided in this section.

10. App Store and Google Play Terms
10.1. App Store Sourced Application (Apple)

If you download Pass Down from the Apple App Store, the following additional terms apply:

  • These Terms are between you and UnclaimedX only, not Apple. Apple is not a party to these Terms and has no obligation to provide any maintenance or support for the Pass Down application.
  • Your use of Pass Down must comply with the Apple Media Services Terms of Service.
  • If Pass Down fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any, to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to Pass Down.
  • Apple is not responsible for addressing any claims relating to Pass Down, including product liability claims, failure to meet legal or regulatory requirements, or claims under consumer protection law. UnclaimedX is solely responsible for such claims.
  • If a third party claims that Pass Down or your possession and use of the application infringes their intellectual property rights, UnclaimedX, not Apple, is solely responsible for the investigation, defence, settlement, and resolution of such claims.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the App Store version of Pass Down. Upon your acceptance of these Terms, Apple has the right to enforce them against you as a third-party beneficiary.
  • Without limiting any other terms, you must comply with all applicable third-party terms when using the App Store version of Pass Down.
10.2. Google Play Sourced Application

If you download Pass Down from the Google Play Store, these Terms are between you and UnclaimedX only. Google is not a party to these Terms and bears no responsibility for Pass Down or its content. Your use of Pass Down must comply with the Google Play Terms of Service.

11. Governing Law and Dispute Resolution
11.1. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Service.

11.2. Dispute Resolution

If you have a dispute, concern, or complaint regarding the Service or these Terms, we encourage you to contact us first at hello@unclaimedx.com. We will make a genuine effort to resolve your concern within 30 days of receiving it. We believe most issues can be resolved through direct communication without the need for formal proceedings.

11.3. Consumer Rights

Nothing in these Terms affects any statutory rights you may have as a consumer under the Consumer Protection Act, 2019 or any other applicable Indian law.

12. General Provisions
12.1. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UnclaimedX regarding your use of Pass Down and supersede all prior agreements, understandings, or representations relating to the same subject matter.

12.2. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect.

12.3. No Waiver

Our failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision on any future occasion.

12.4. Assignment

You may not assign or transfer your rights or obligations under these Terms to any other person without our prior written consent. UnclaimedX may assign its rights and obligations under these Terms to any affiliate, successor, or acquirer of its business without your consent, provided that your rights under these Terms are not materially diminished as a result.

12.5. Force Majeure

UnclaimedX shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, war, civil unrest, internet or power outages, or failure of third-party infrastructure or services.

12.6. Electronic Communications

You consent to receiving communications from UnclaimedX electronically, including via the app, push notifications, SMS, and email to your registered contact details. These electronic communications satisfy any legal requirement for written communication to the extent permitted by applicable law.

12.7. Language

These Terms are written in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
